This invention relates to creating an eco-system for the small
and mid-size businesses giving them an invented model to enter and exit from the
business on easy basis.
This eco system will help the business owners to get the price for valuables in
their hands. Most of the time the businessmen does not get anything for the
hardship done to establish the business. These businesses are closed due to
various reasons, which become out of the control of the businessmen and
sometimes businessmen become bounds to close the business.
Our invention will help them to get the price of each and every part of business
having some value and our eco-system will help them to get that price either it is
tangible or intangible asset.
Besides this, our eco-system will help the new businessmen to enter and purchase
the running business by getting the advantage of hardship done by the
predecessor businessmen.
Back ground: As on today there are various processes and regulations to close the
business. Now Government has also introduced National Company Law Tribunal,
which helps to close the business or reconstruct the business. But this happens at
big level and big business goes for these procedures.
For other businesses which are Company or Limited Liability Partnership or
Partnership or Proprietorship, there are procedures to wind up the businesses but
at cost. No compensation for the capital invested.
Currently business houses sell their business through advertisement in newspaper
and various other network, which all are informal and unorganised.
In these processes, it takes lot of time and energy to handover the business to the
right person and get the right price of compensation for the same.
Sometimes it does not go in the right hand also.

So in order to overcome all these difficulties and creating a new Invented Model
and eco-system our invention is going to benefit, not only businessmen but also
the Society and Country at large, by saving the various resources, which gets
wasted or scrapped during this process.
Objective: It has already been proposed that the principle object of this invention
is to help the society in the form of saving the sources and resources, which gets
wasted and saving huge cost at administrative level of the Government for closure
of businesses.
Another object of invention is to help the businessmen, who wants to exit from
the business due to the various reasons including management issues, fund
issues, high debt, technological issues, supply issues or customer issues.
On the other hand, a businessmen in order to start business puts huge time,
energy and money to make it working but due to above reasons, sometimes it
does not get successful. So when it is decided to get exit from the business, he
does not get the right person for the tangible and intangible assets and sometime
a further huge loss and with cost the business gets closed.
Further object of this inventions is to handover the half done business in the right
hands. A person if not successful to run a business does not mean that it can-not
be run successfully by any other person.
Summary: This is novel concept and till date there is nothing in the World any
Invented Model where a Business seller can sell its business as a whole or in parts
including licences and where a buyer can purchase a business as a whole or in
parts including customer base, supplier base, licenses, trade mark, copy right, web
portal, software, employee base.

In such a developing economy the move is being made from the Service Sector to
Manufacturing Sector or from Service class to Entrepreneurship class. Lot of
initiatives are being made by the Government of India to help the Small and
Medium Enterprises to grow as it contributes 70 percent of the Gross Domestic
Product and 80 percent of the Employment in the Country. But due to various
reasons more than More than 36 percent of registered companies have 'closed'

companies who were registered with Ministry of Corporate Affairs. There are
various other organisations, which are not registered with Ministry of Corporate
Affairs including partnership businesses.
Their closure are never reported, along with these businesses there are big list of
fresh entrepreneur, who want to do businesses, they have skills but little money
or no money on the other side there are some businesses, who do not have
proper skills in this age of digitalisation to run the business and are doing the
business with old pattern, accordingly gets fail and closes the businesses.
Such closures of businesses brings lot of cost for the businesses equally hamper
employee and economy at large.
