Is it necessary to file an application for change in Company Name?
Yes, if you wish to change the name of your existing company, then you must communicate the same to Ministry of Corporate Affairs (MCA) by filing MGT-14 and INC-24.
What is the process of Company Name Change?
To change a company name, you need to file RUN (Reserve Unique Name) to reserve the new name. Once MCA approves the name, the company needs to file MGT-14 to alter its MOA and AOA.
After the alteration, you need to get approval from the Central Government (for the name change). After verifying all the details MCA will issue new incorporation certificate.
The company also requires passing a special resolution in its Board Meeting to approve from all the members and shareholders.
How can you choose a new name for your Company?
MCA approves only distinct and relatable company names. There are a few guidelines set by MCA based on which the company can select a business name. However; you need to make sure that it should not be from the list of restricted words.
You can search from a database of Trademark (IP India) or Existing Companies (MCA) to make sure that you are not infringing upon anybody’s rights.
When do you need to file MGT-14?
The directors or authorized company secretary needs to file MGT-14 within 30 days of passing the special resolution. The documents submitted along with the form are –

Do you require paying stamp duty during alteration of Articles of Association?
No, you do not need to pay stamp duty while altering Articles of Association for changing name of your company.
Up to what time you can use the name after approval?
The name will be available for 60 days after it has been approved. This can be calculated from the date of name approval.
Which Companies can not apply for a name change?
As per MCA, the companies which have not filed their annual returns or financial statements or have failed to pay/repay matured deposits, debentures or interest can not apply for company name change.
